what do you think of the comp i want to build?

Seems good but one change i would make is get a I7 920 and spend the money you save upgrading your graphics card to a geforce 260. It will make a much bigger difference when playing games.
I would really consider overclocking your I7 as well you should be able to overclock a 920 to about 4ghz which is much faster than even the most expensive I7 you can get and much much faster than the 940. There are loads of simple tutorials how to do it on google.
And upgrading your psu yo 700w + would probably be a good idea. you are pushing it a bit with just 650w.
I would settle on 6gb ram you will probably never use even that much anything more will just sit there never being used.
